Nielsen Plans Domicile Relocation to UK

Nielsen is planning to move its legal domicile from the Netherlands to the UK in the third quarter of the year, in a bid to attract a broader group of investors from around the world. This change is not expected to significantly alter the firm's worldwide corporate tax rate.

Mitch BarnsNielsen's existing US-Netherlands tax treaty includes shareholder residency requirements that the company says may limit funding by investors outside these countries. By relocating the legal domicile, the company says it will be able to maintain the current treaty while eliminating these residency requirements.

Shareholder approval for the plan, which has already been unanimously endorsed by the Board, will be sought at the 2015 Annual Meeting of Shareholders. Nielsen's shares are expected still to be listed on the New York Stock Exchange (NYSE) under the existing NLSN symbol, and Nielsen will remain subject to the reporting, disclosure and governance requirements of the NYSE and the SEC.
