IMS Health Divestments Approved

In the US, the FTC has approved inVentiv Health's acquisition of two SDI Health promotional and medical audit businesses from IMS Health; while separately, inVentiv is to acquire outsourcing solutions firm Kforce Clinical Research.

The deal - for an undisclosed sum - was announced in January after the Commission insisted on the sale of the businesses for competition reasons following IMS' acquisition of SDI.

inVentiv, which provides the sector with clinical, commercial and consulting services, says it expects to close the transaction this week, and incorporate the businesses into its market research and analytics group Campbell Alliance. The businesses accounted for 2011 revenue of just under $15m, and the merger will add promotional and medical audits to Campbell's qual and quant research services, opinion leader analysis and anonymised patient and prescription data.

inVentiv has 13,000 employees in 40 countries and is privately owned by inVentiv Group Holdings Inc., with the management team among the owners.

The company also announced this week that it will acquire Kforce Clinical Research, Inc. (KCR), a provider of functional outsourcing solutions to pharmaceutical, biotech and medical device companies, for $50m in cash, and will combine it with existing businesses in the functional outsourcing and CRO segment. KCR's range of clinical services include data management, biostatistical analysis and reporting as well as a range of legal, clinical and other services, giving total revenue of around $70m.
