System1 Votes to Keep Howell and Kearon in Place

System1 shareholders have voted to keep Non-Executive Chairman Rupert Howell and founder and Executive President John Kearon in their existing roles, following demands for change by two former company execs.

Rupert HowellEarlier known as BrainJuicer, London-based System1 Group comprises an MR business and ad agency, with a focus on behavioural science. Last month, two past System1 execs - former CEO Stefan Barden (who holds 6% of the company's total shares) and ex-CFO James Geddes - called for Board changes. These included retiring Howell as Chairman and Non-Executive Director (NED), demoting Kearon to an NED role, and making Barden Executive Chairman and Director.

At a general meeting held last Friday, more than half of shareholders who voted, supported keeping the company's current Board in place, with 41.77% of votes cast in favour of Barden and Geddes' proposals. Howell commented: 'The Board would like to thank shareholders for the support received at today's meeting. We were pleased that shareholders supported the Board's recommendations, with an average of 58.23 per cent of shareholders who voted, opposing the resolutions.'
