Court Clears Infogroup Shareholder Meeting

Infogroup is set to proceed with its shareholder meeting tomorrow – voting on the firm’s proposed acquisition by affiliates of CCMP Capital Investors LLP – after a Delaware court declined to issue an injunction which might have delayed it.

The Court of Chancery of the State of Delaware last week declined to issue the preliminary injunction, which was requested by shareholder the New Jersey Carpenters Pension Fund, on behalf of all the company's shareholders.

The sale, first announced in March, has met continuing opposition from certain shareholder groups, with opponents accusing the firm’s Board of Directors of attempting to sell the company at ‘an irresponsibly low price’.
