Ascential Buys eCommerce Analytics Firm Clavis Insight

B2B information company Ascential has acquired eCommerce analytics specialist Clavis Insight for an initial cash consideration of $119m, with future earn outs payable over three years and expected to total between $25m and $50m.

Dublin, Ireland-based Clavis - which also has offices in Boston, Paris, London and Shanghai - offers proprietary technology to enable consumer product companies to track and optimise the performance of their products across hundreds of retailer web sites and mobile commerce sites. Its Advanced Amazon Analytics (AAA) service includes technology to track activity, pricing and availability for client and competitor brands on the retail giant's one-hour delivery app, Amazon Prime Now. During the year to 31st December 2016, Clavis generated unaudited revenue of $13m and an EBITDA loss of $7m.

Clavis will now join Ascential's Information Services division and be integrated with the One Click Retail (OCR) Amazon sales and share product. Earn out consideration is payable in cash based on the annualized recurring revenue of the business at the end of each of the next three years to 2020, and a portion of it is subject to the founders remaining in employment with the company. The total potential consideration, including initial consideration and earn out payments, is capped at $219m.
