ORC Prepares Stock Offer

World top 20 agency Opinion Research Corporation has filed with the Securities and Exchange Commission for a proposed stock offering of up to $50m of shares, largely for purposes of repaying debt and repurchasing securities.

Proceeds from the follow-on public offering are earmarked for paying off $21 million of subordinated loans from Allied Capital, repurchasing certain of the company's securities and rights held by LLR Equity Partners and an affiliate for $18 million, and repaying a portion of its senior bank debt.

In addition, the company has granted to the underwriters, Friedman Billings Ramsey & Co., Inc, an option to purchase additional shares of its common stock to cover over-allotments, if any, with a value at the offering price of up to $7.5m.
