Thoma Bravo Buys CX Specialist Verint

August 26 2025

In New York, customer engagement specialist Verint has agreed to be acquired by investment firm Thoma Bravo, in an all-cash transaction valuing Verint at $2 billion. Thoma Bravo is already the owner of Medallia, UserTesting and J.D.Power.

Dan BodnerVerint, valued less than eighteen months ago at around $1.2bn, helps clients 'bring together work, data and experiences across the enterprise' to build enduring customer relationships. This includes VoC data from sources including web, mobile, social and survey feedback; in-store data, captured with geo-location capabilities; and contact center intelligence. Thoma Bravo, which has offices in five US cities and in London, is the owner of insight firms J.D. Power, UserTesting and Medallia, and an investor in many other firms around the sector, including Qlik and Alation.

The new deal, which is expected to close early in 2026 but is still subject to shareholder and other approvals, will give Verint's common shareholders $20.50 per share in cash, an 18% premium to the firm's 10-day volume weighted average share price up to June 25th.

Verint CEO and Chairman Dan Bodner (pictured) comments: 'Thoma Bravo's investment is a testament to our CX Automation category leadership... We are making good progress in delivering AI-powered solutions to an early stage CX Automation market, and we recently announced that our AI Annual Recurring Revenue (ARR) now represents 50% of our total ARR.'

Mike Hoffmann, a Partner at Thoma Bravo, adds: 'Verint's market leading CX Automation platform, enterprise customer base and talented employees position it well to shape the future of customer experience with AI as part of the Thoma Bravo portfolio. At the closing of the transaction, Verint will join forces with Thoma Bravo portfolio [contact center solutions] company Calabrio. The opportunity to automate CX workflows with an AI-powered platform is significant, and the combined company will have the industry's broadest CX platform arming brands of all sizes with strong AI business outcomes.'
