IS Solutions to Acquire Speed-Trap,61301

In the UK, business intelligence and big data software reseller IS Solutions is to buy Speed-Trap Holdings (STH), the parent company of online behaviour specialist Celebrus Technologies, for approximately £7.5m.

Founded in 1999, Celebrus provides tagging-free software to capture real-time data on individual online visitor behaviour from any mobile or laptop browser, for use in cross-channel behavioural targeting and personalisation.

IS Solutions says the acquisition will provide it with additional routes to market and geographies by partnering with large analytics firms currently using STH as a platform. The firm, which currently owns c.11% of STH shares, has conditionally agreed to purchase STH for c.£7.5m, subject to an adjustment to reflect STH's net asset position at completion, with consideration satisfied partly in cash and partly by the allotment and issue of IS Solutions shares. As part of the deal, STH Chairman Godfrey Shingles will join the Board of IS Solutions as a non-Executive Director for a fixed term of one year.
